End User License Agreement

This End User License Agreement (“Agreement”) is between Business Dynamics Pro Inc. (“Publisher”) and you (“Customer”) for the use of Business Dynamics Pro extensions (“Extension”) for Microsoft Dynamics 365 Business Central.

1. License Grant

Publisher grants Customer a non-exclusive, non-transferable license to install and use the Extension within Customer's Microsoft Dynamics 365 Business Central environment, subject to the terms of this Agreement and the Microsoft Commercial Marketplace Terms of Use.

2. Restrictions

Customer shall not: (a) reverse engineer, decompile, or disassemble the Extension; (b) sublicense, sell, or redistribute the Extension; (c) use the Extension for purposes other than its intended functionality within Business Central.

3. Intellectual Property

The Extension and all related intellectual property rights remain the property of Publisher. Customer receives only the license rights expressly granted in this Agreement.

4. Warranty Disclaimer

The Extension is provided "as is" without warranties of any kind, express or implied, including but not limited to warranties of merchantability or fitness for a particular purpose.

5. Limitation of Liability

In no event shall Publisher be liable for any indirect, incidental, special, or consequential damages arising out of the use of the Extension.

6. Support

Publisher provides support for the Extension via email at support@dynamicspro.ca during normal business hours (Eastern Time, Monday–Friday).

7. Termination

This license terminates automatically if Customer violates any term of this Agreement. Upon termination, Customer must uninstall the Extension.

8. Governing Law

This Agreement is governed by the laws of the Province of Ontario, Canada.

9. BDP SmartFlow APS — Supplemental Terms

The general terms above (Sections 1–8) apply to all Extensions. If you install and use BDP SmartFlow APS specifically, the following supplemental terms also apply:

9.1 SmartFlow Scheduling Service

Sequence Optimization (cloud mode) and, where available in your installed version, Finite-Capacity Scheduling are performed by the SmartFlow Scheduling Service, a cloud service that Business Dynamics Pro Inc. hosts, operates, and pays for on Microsoft Azure. You do not deploy it and you incur no separate hosting or infrastructure cost for it; access is included in your subscription. When you use one of these features, the extension transmits over HTTPS to that service the scheduling data for the work centers, orders, and date range you selected — production order numbers, item numbers, operation numbers, routing sequence, setup and run times, quantities, due dates, work-center and machine-center identifiers, and changeover constraints — together with your Business Central Azure Active Directory tenant identifier, sent to authenticate the request and verify your entitlement. No other Business Central data is transmitted. A built-in local optimizer is also available for Sequence Optimization and makes no network call.

9.2 Availability without the cloud service

Sequence Optimization includes a scheduling algorithm that runs entirely inside Business Central and continues to work if the cloud service is unavailable. Finite-Capacity Scheduling, where available in your version, has no offline equivalent and requires the cloud service; if it is unreachable, the finite scheduler reports an error and makes no change to your data.

9.3 Control Add-in

The extension includes a JavaScript Control Add-in that renders the Gantt chart. That component runs entirely within your Business Central browser session and makes no network calls of its own; it communicates only with the Business Central server. All outbound communication with the SmartFlow Scheduling Service originates from the extension's server-side code, as described in Section 9.1.

9.4 Scheduling data storage

The SmartFlow Scheduling Service processes the scheduling data described in Section 9.1 in memory to compute a result, returns it, and writes it to no datastore. The service's operational logs record that a request occurred — your tenant identifier, the time taken, and whether the request succeeded — but not the scheduling data itself. Within Business Central, all schedule reads and writes go to standard Business Central production tables; the extension's own tables hold configuration, cached capacity, results, and snapshots inside your Business Central environment.

9.5 Subscription and trial records stored outside Business Central

To operate the free trial and enforce your subscription, Business Dynamics Pro Inc. maintains a record for your tenant in its own Microsoft Azure storage, separate from your Business Central environment. This record is described in the Privacy Policy and, by design, persists if you uninstall the extension, so that a free trial cannot be renewed indefinitely by reinstalling. The tenant identifier, subscription status, and a non-personal trial-used flag are retained for the life of this entitlement relationship; the encrypted personal contact information in that record is retained only while a trial or subscription is active and is automatically purged within 12 months after cancellation or trial expiry, with earlier deletion available on request. 9.6 Microsoft ecosystem

Business Dynamics Pro Inc. is the sole processor of the data described in this section. Microsoft Azure is the only sub-processor: the SmartFlow Scheduling Service and the subscription/trial record both run on Microsoft Azure infrastructure, the same cloud your Business Central environment already runs on. No third-party cloud provider is used.

9.7 Requirements

The extension requires the Business Central Premium experience and an active subscription or trial. Pricing depends on seat type (a full-access Planner seat and a lower-cost, read-only Viewer seat); see the AppSource listing for current per-seat terms.

10. BDP ForecastQ — Supplemental Terms

The general terms above (Sections 1–8) apply to all Extensions. If you install and use BDP ForecastQ specifically, the following supplemental terms also apply:

10.1 All computation happens inside your tenant

Every figure ForecastQ produces — demand aggregation, classification, statistical forecasting, safety stock, reorder point, reorder quantity and exception ranking — is computed by the extension inside your own Business Central environment, from your own posted Item Ledger Entry data. No forecasting or replenishment calculation is performed outside your tenant, and no artificial-intelligence or machine-learning service is used to produce any number. Business Central's own planning engine remains the only engine that nets supply against demand.

10.2 ForecastQ Licensing Service — what is transmitted

ForecastQ verifies your subscription against the ForecastQ Licensing Service, a cloud service that Business Dynamics Pro Inc. hosts, operates and pays for on Microsoft Azure. You do not deploy it and you incur no separate hosting cost for it; access is included in your subscription. When the extension contacts that service over HTTPS it transmits only: your Business Central Azure Active Directory tenant identifier; the licensing credential issued to that tenant; an activation key, where you have entered one; and a single whole number — the count of items currently in scope — used to determine your entitlement tier. No business data is transmitted. No item numbers, no quantities, no costs, no prices, no customer or vendor names, no forecasts, no ledger entries and no document contents ever leave your tenant.

10.3 What the Licensing Service stores

The service stores an activation record for your tenant: the tenant identifier, the activation date, subscription status and plan, and any contact details you supply for support and licence-recovery purposes. Contact details are encrypted at rest. Operational logs record that a request occurred — tenant identifier and timestamp — for security and support purposes. The service holds no Business Central business data, because none is ever sent to it.

10.4 Control Add-ins

The extension includes JavaScript Control Add-ins that render its charts, matrices and network views. They run entirely within your Business Central browser session, make no network calls of their own, and communicate only with the Business Central server. All outbound communication with the ForecastQ Licensing Service originates from the extension's server-side code, as described in Section 10.2.

10.5 Writes to your Business Central data

ForecastQ writes to native Business Central planning fields — Safety Stock Quantity, Reorder Point, Reorder Quantity and the Demand Forecast — only for records you have explicitly approved. Recommendations are created in a proposed state and are never applied automatically; a user with a Planner seat must approve them, and every write is verified by a second read and recorded in an auditable log.

10.6 Subscription, trial and payment

The extension requires Business Central Essentials or Premium and an active subscription or trial. Subscriptions are purchased through the Microsoft Commercial Marketplace and are billed by Microsoft under the Microsoft Customer Agreement; Business Dynamics Pro Inc. does not process your payment and does not receive your payment details. Pricing depends on seat type — a full-access Planner seat and a lower-cost, read-only Viewer seat — and current per-seat pricing is shown on the AppSource listing, which prevails over any figure quoted elsewhere.

A time-limited evaluation period is made available on first activation; its length is stated on the AppSource listing. When an evaluation period or a subscription ends, the extension stops performing licensed operations and reports that it is not entitled. It does not delete, alter or withhold any data already written to your Business Central environment, and any figures already published to native planning fields remain yours and remain in place.
